The definition of a good board member is simple to express, but a living example is not always easy to find. Before I became a full- time arts journalist, I spent a number of years working for nonprofit arts organizations, including the Santa Fe Desert Chorale, Santa Fe Chamber Music Festival, Santa Fe Stages, Western States Arts Federation, and Music of the Baroque in Chicago. From those experiences, I define a good board member as a person Such a board's duties should be meticulously spelled out in the organization's bylaws, especially the details of if, when, and how they can vote and on what kind of matters. In the early 1990s, a long-simmering argument between some Santa Fe Chamber Music Festival board members and founders Alicia Schachter and Sheldon Rich erupted into open conflict. Accusations of fiscal impropriety flew, inflammatory comments from both sides were made in public, and a fateful board meeting was called in which Rich's and Schachter's jobs were going to be on the line. From a nonprofit standpoint, what was fascinating was that members of the festival's advisory board had traditionally, and in terms of the bylaws, never been able to vote on board matters. But at this decisive juncture, Rich produced a legal opinion that said advisory members could vote. His opponents produced their own supporting legal opinion. Both sides lobbied members of the advisory and regular boards, and the meeting was, to say the least, well- attended.
